The AMP Live Website Terms of Use for Bands and Artists

1. Acceptance of Terms of Use.

This Terms of Use Agreement (this Agreement) states the terms and conditions under which you may access and use The AMP Live website (www.theamplive.com ). By accessing and using The AMP Live website you are indicating your acceptance to be bound by the terms and conditions of this Agreement. If you do not accept these terms and conditions, you must not access or use the Web site.

If you are dissatisfied with the terms, conditions, rules, policies, or practices of The AMP Live website, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING IT.

2. Who we are

The AMP Live Inc. ("The AMP Live") is limited liability company organized and existing under the laws of the Province of Nova Scotia, Canada.

3. What we do

The AMP Live website is a service that invites independent bands and musical artists to create profiles online. Profiles may include:

  • A selection of music for streaming or download;
  • Photographs;
  • Video clips;
  • Biographical data; and
  • Other print-media

The AMP Live website is intended to assist musical artists in expanding their fan base through showcasing and engaging with music fans.

Fans are also offered the opportunity to create their own mini profiles, to communicate their interests and express musical preferences with other users of the service, and to participate in various online activities organized by The AMP Live .

4. How long this Agreement lasts

This Agreement shall remain in full force and effect for as long as you use The AMP Live website in any way whatsoever.

THE AMP LIVE MAY TERMINATE YOUR USE OF THE WEBSITE SERVICE AT ANY TIME FOR ANY REASON AND WITHOUT CAUSE, effective upon sending notice to you at the email address you provided to The AMP Live .

5. Modifications

The AMP Live reserves the right to modify these Terms of Use and any policies affecting the website. You agree that any such modification is binding upon you and is effective as of the date it is posted on this website.

6. Restrictions on use

You agree as a condition of your use of The AMP Live website that you will not:

  1. reprint, republish or distribute in any way any information or materials found on The AMP Live website.
  2. post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind
  3. post or transmit any articles, images, stories, software or other material, which violates or infringes upon the rights of others, including material which is an invasion of privacy or publicity rights or which is protected by any intellectual property rights, including, without limitation, copyright, patent, trade secret, trademark or other proprietary rights herein, or derivative works with respect thereto, without first obtaining permission from the owner or rights holder;
  4. post or transmit anything that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual, could be harmful to minors, harasses or advocates harassment of another person, provides material that exploits people under the age of 18 in a sexual or violent manner, provides instructional information about illegal activities
  5. post or submit anything which solicits passwords or personal identifying information for commercial or unlawful purposes from other users;
  6. post or transmit any Submission which contains a virus or other harmful component, or provides or creates computer viruses;
  7. post or transmit junk mail, chain letters, unsolicited mass mailing or spam;
  8. cover or obscure the banner advertisements on your personal profile page, or any The AMP Live website page via any means now or hereafter known;
  9. attempt to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way used on The AMP Live website.

The above is only a partial list of the kind of activity that is illegal or prohibited. The AMP Live reserves the right to investigate and take appropriate legal action against anyone who, in The AMP Live Inc's sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities.

7. Content posted or uploaded by you

The AMP Live Website allows you to post messages and content, to interact with other users and to upload files, documents, music files, photographs, print-media or other materials ("Your Material").

You agree to be solely responsible for Your Material and the consequences of making Your Material available on The AMP Live Website.

You represent and warrant that Your Material:

  1. does not infringe the copyrights of any person or entity; and
  2. does not violate the privacy and/or publicity rights of any person

By posting or uploading Your Material to The AMP Live website, you grant to The AMP Live, for the duration of your participation in The AMP Live website, a royalty-free, non-exclusive, irrevocable, unrestricted, worldwide license to:

  1. use, reproduce, store, adapt, translate, modify, make derivative works from, transmit, distribute, publicly perform or display Your Material for all purposes contemplated by the site;
  2. synchronize any of Your Material in timed-relation with the pages of The AMP Live website;
  3. use Your Material or portions of Your Material in connection with other The AMP Live webcasts which may include other artists;
  4. use or refer to the performer?s name whose performance is embodied on any of Your Material

In addition to the grant of the above license, you

  1. grant to The AMP Live a mechanical licence for all musical compositions owned or controlled by you that forms any part of Your Material;
  2. agree to waive all moral rights in any of Your Material in favour of The AMP Live;
  3. consent to band / artist name appearing as the contributor of Your Material, where applicable, and to the disclosure and/or display of such information and any other information which appears in or is associated with Your Material;
  4. acknowledge and agree that The AMP Live is not responsible for any loss, damage, or corruption that may occur to Your Material;

8. Eligibility

By using The AMP Live website, you represent and warrant that:

  1. all registration information you submit is truthful and accurate and that you agree to maintain the accuracy of such information;
  2. you are 16 years of age or older;
  3. you are entitled to conclude this Agreement
    1. generally; and
    2. specifically without the requirement of payment to any union, guild, or professional association;

9. Limitation on Liability.

You assume full responsibility and risk of loss resulting from your use of The AMP Live website and any information on this site. Under no circumstances will The AMP Live or any of The AMP Live's employees or representatives be liable for any indirect, punitive, special or consequential damages even if we or any of our employees or representatives have been advised of the possibility of such damages. Our total liability in any event is limited to the amount, if any, actually paid for use of the site and you hereby release us and our employees and representatives from any and all obligations, liabilities and claims in excess of this limitation.

10. Privacy

You agree to accept the Privacy Policy that is posted, and amended from time to time, on this The AMP Live website.

11. Links

You acknowledge that The AMP Live has not reviewed the content of all sites linked to or from our website and that The AMP Live is not responsible for the content of any of those sites and do not take responsibility for them or endorse them.

12. Disclaimer

The contents, products and services available on The AMP Live website are provided on an "as is" basis. The AMP Live does not represent that the information on this website is accurate, comprehensive, verified, complete or error free.

13. Disputes

You agree to be solely responsible for your interactions with other users of The AMP Live website. The AMP Live reserves the right, but has no obligation, to monitor disputes between you and other users.

14. Reporting Copyright Infringement

It is the policy of The AMP Live to respond to claims of copyright infringement. The AMP Live will investigate notices of alleged infringement and will take any actions, in its sole discretion, it deems appropriate. 15. Indemnity

You agree to indemnify and hold The AMP Live, and The AMP Live's directors, officers, employees and representatives, harmless from any and all losses (including, but not limited to, attorney fees) resulting from any claims that you assert, or may assert, based on or relating to your use of The AMP Live website. You further agree to indemnify and hold us, and our directors, officers, employees and representatives, harmless from any and all losses resulting from claims of third parties, including, but not limited to, attorney fees, that result in whole or in part from violations by you of any of the terms of this Agreement.

16. Copyright on this site

The copyright in the content contained in this website belongs to the creator of the content. Except for that information which is in the public domain, the content on this website is protected by copyright and may not be reproduced or appropriated in any manner without the written permission of its respective owner(s).

17. Severability

In the event that any or any part of the terms, conditions or provisions contained in this Agreement shall be determined by any competent authority to be invalid, or unenforceable to any extent such term, condition or provision shall to that extent be limited or severed from the remaining terms, conditions and provisions so that this Agreement shall otherwise remain in full force and effect and enforceable.

18. Force Majeure

The AMP Live will be not held liable for any delay or failure in performance of any part of this Agreement from any cause beyond our control and without our fault or negligence.

19. Governing Law

The terms of this Agreement will be governed and construed in accordance with the laws of the Province of Nova Scotia and the laws of Canada.
